Rules and conditions for using the Dynex platform.

1 What is Dynex?

Dynex is a cloud-based software platform for hospitality businesses. The platform helps with guest communication, online presence management, marketing automation, and digitalization of business processes.

Dynex is a software tool. It is not a marketing agency, not a consultant, and does not guarantee revenue, bookings, or guest numbers.

2 Who is Dynex for?

Dynex is available exclusively for businesses (Ltd., partnerships, sole proprietors, etc.). The service is not intended for consumers.

By using Dynex, the Client accepts these Terms of Service, the Data Processing Agreement (DPA), and the Billing and Usage Policy.

3 Contract Formation

The contract is formed when the Client:

  • selects the package,
  • accepts the terms,
  • provides their credit card,
  • and starts the subscription.

This creates a legally binding contract between Dynex and the Client.

4 14-Day Trial Period

The Client is entitled to a 14-day free and no-obligation trial period. During this time:

  • the system can be used with full functionality,
  • the subscription can be cancelled at any time,
  • no charges are made.

If the Client does not cancel before the end of the trial period, the subscription automatically becomes paid.

5 Subscription and 6-Month Term

After the trial period expires, the subscription is established for a minimum of 6 months. This means:

  • the subscription cannot be terminated by ordinary notice during the first 6 months,
  • in case of early termination, the fee for the remaining period is due.

After 6 months, the subscription becomes indefinite and can be terminated with 30 days notice.

6 Pricing

Dynex pricing consists of two parts:

6.1 Subscription Fee

This provides access to the Dynex platform.

6.2 Fixed Monthly Add-ons

The following features are available for an additional monthly fee:

  • Workflow Premium packages (Starter / Growth / Scale)
  • White-label mobile application
  • WhatsApp Business integration
  • AI Employee

6.3 Usage-Based Fees (Rebilling)

Charged based on the Client's actual usage:

  • Email sending
  • SMS phone number and SMS fees
  • Phone System
  • LC Email Verification
  • Content AI (content generation)
  • Reviews AI (review management)
  • Funnel AI
  • Conversation AI (chatbot)
  • WhatsApp messages (marketing and utility)
  • Domain purchase
  • Workflow Premium Actions (actions marked with crown icon)
  • Workflow External AI Models
  • Agent Studio

Current prices can be viewed in the Dynex system.

7 Billing and Payment

  • Payment is made by credit card through the Stripe system
  • Subscription fee is billed monthly in advance
  • Usage-based fees are billed monthly in arrears
  • Dynex issues electronic invoices

8 Non-Payment

In case of non-payment, Dynex is entitled to:

  • suspend the account,
  • restrict access.

The service will resume after the debt is settled. In case of persistent non-payment, Dynex may collect the debt through legal means.

9 AI and Automations

Dynex contains AI-based features. The Client acknowledges that content generated by AI is automated and may contain errors. The Client is responsible for messages and content sent by AI.

10 External Providers

Dynex's operation also depends on external technology providers (e.g., Stripe, OpenAI, Meta, Google). Dynex has no full control over their operation and availability.

11 Liability

Dynex is not liable for any indirect, business, lost profit, revenue loss, data loss, or reputational damage.

Dynex's total liability - on any legal basis - is limited to the subscription fee paid by the Client in the month preceding the damage.

12 Data, Backups and Deletion

Dynex stores and processes the Client's data to the extent necessary for operating the system. Dynex performs regular technical backups, however:

  • it does not guarantee that all data can be restored at any time,
  • it does not accept liability for business damage resulting from data loss.

Upon termination of the contract, the Client is entitled to export their data in the format provided by the system. After termination, Dynex retains the data for the period prescribed by law, then deletes it.

13 Intellectual Property and AI Content

  • The Dynex platform, software, and technology are the property of Dynex Kft.
  • The Client remains the owner of their own data and content created during the use of Dynex.
  • The Client acquires usage rights over AI-generated content, however, Dynex does not accept responsibility for the legality or accuracy of such content.

14 Service Changes

Dynex is entitled to modify, develop, or replace the platform's features, modules, integrations, and technical solutions from time to time. Dynex is not obligated to maintain all previous features in unchanged form, provided the fundamental purpose of the service does not cease.

15 System Availability

Dynex aims for high availability, however, maintenance, updates, and external provider failures may cause temporary outages.

Such outages do not constitute breach of contract.

16 Permitted Use

The Client is obligated to use Dynex lawfully and for its intended purpose. The following are specifically prohibited:

  • sending spam or unsolicited messages
  • unlawful data processing
  • harassment of third parties
  • overloading or abusive use of the system

Dynex is entitled to suspend or terminate the account in such cases.

17 Contract Termination

The contract may be terminated:

  • by notice after 6 months
  • in case of non-payment or serious breach of contract
  • by mutual agreement

Termination does not affect payment obligations already due.

18 Succession and Transfer

Dynex is entitled to transfer the contract or the operation of the service to another company (e.g., within a corporate group or in case of investment). The Client may only transfer the contract with Dynex's written permission.

19 Force Majeure

Dynex is not liable for events beyond its control (e.g., internet outage, failures of OpenAI, Stripe, Meta, Google, war, changes in legislation).

20 Miscellaneous Provisions

  • If any part of this contract is found to be invalid, it does not affect the validity of the remaining parts.
  • Hungarian law applies to the contract.
  • In case of legal dispute, the court at the registered office of Dynex Kft. has jurisdiction.
